Please read these terms carefully before using the AdFlow platform.

1Acceptance of Terms

By accessing or using the AdFlow platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of the Terms, you may not access or use the Service. These Terms apply to all visitors, users, publishers, and advertisers who access or use the Service.

AdFlow Technologies Pvt. Ltd. ("Company", "we", "our", "us") reserves the right to update and change these Terms at any time without prior notice. Continued use of the Service after any changes constitutes acceptance of the updated Terms. It is your responsibility to check these Terms periodically for changes.

These Terms were last updated on May 31, 2026, and supersede all prior agreements between you and AdFlow regarding the Service.

2Description of Services

AdFlow provides a cloud-based advertising management platform that enables publishers to monetize their digital properties and advertisers to reach targeted audiences. Services include but are not limited to: ad inventory management, campaign analytics, real-time bidding infrastructure, publisher dashboards, and reporting tools.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

AdFlow may introduce new features, impose limits on certain features, or restrict access to parts or all of the Service without notice or liability.

3User Accounts

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password you use to access the Service.

You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

AdFlow reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at its sole discretion. Accounts found to be in violation of these Terms may be suspended or permanently terminated without prior notice.

4Publisher Terms

Publishers using the AdFlow platform agree to display ads only on properties that comply with our content policies. Publishers must not engage in click fraud, artificial traffic inflation, or any other deceptive practice that misrepresents inventory quality to advertisers.

Publishers are responsible for ensuring their websites comply with all applicable laws, including privacy laws, cookie consent requirements, and children's online privacy regulations. Integration of AdFlow scripts on non-compliant properties may result in immediate account termination.

Revenue sharing and payment terms are governed by the Publisher Agreement, which is incorporated herein by reference. AdFlow reserves the right to withhold payment for traffic deemed fraudulent or in violation of these Terms pending investigation.

5Advertiser Terms

Advertisers agree that all advertising content submitted to the AdFlow platform complies with applicable advertising standards, laws, and our Ad Content Policy. Prohibited content includes, but is not limited to: misleading claims, adult content, malware, counterfeit goods, and discriminatory material.

Advertisers are solely responsible for the accuracy and legality of their ad creative, landing pages, and targeting parameters. AdFlow does not review every ad before delivery and is not liable for any advertiser content that violates third-party rights or applicable law.

Campaign budgets are estimates and actual spend may vary due to real-time bidding dynamics. Advertisers acknowledge that AdFlow makes no guarantees regarding minimum impressions, clicks, or conversion rates.

6Payment & Billing

All fees are stated in US Dollars unless otherwise specified. Payments are due according to the billing cycle selected at account setup. AdFlow uses industry-standard payment processors and does not store raw credit card data on its servers.

Invoices are generated automatically at the end of each billing cycle. Disputes must be raised within 30 days of invoice date. AdFlow reserves the right to charge late payment fees on overdue balances at a rate of 1.5% per month.

Refunds are issued at AdFlow's sole discretion. Credits may be applied to future invoices in lieu of cash refunds. Taxes applicable to the Service are the responsibility of the account holder unless AdFlow is legally required to collect and remit.

7Privacy & Data

AdFlow's collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described therein.

You retain ownership of all data generated by your use of the Service. By submitting data to the platform, you grant AdFlow a limited license to process, analyze, and use that data solely to provide and improve the Service.

AdFlow implements industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee the absolute security of your information.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADFLOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

ADFLOW'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ADFLOW IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you. In such cases, our liability shall be limited to the greatest extent permitted by applicable law.

9Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions.

AdFlow's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms, together with the Privacy Policy and any applicable Publisher or Advertiser Agreement, constitute the entire agreement between you and AdFlow regarding the Service.
